Legal/Modu Public Offer (Kazakhstan)

Modu Public Offer (Kazakhstan)

Document language:

This Public Offer (this “Offer”) is published by Modu Technologies LLP (“Modu,” “we,” “us”) pursuant to Articles 395, 396 and 447 of the Civil Code of the Republic of Kazakhstan, and constitutes an agreement between Modu and a legal entity or individual entrepreneur (the “Client”) who accepts it, governing the terms on which the Client subscribes to Modu's software services.

This Offer supplements, and does not replace, the Modu Terms of Use and the Modu Payments Agreement, both available on this site. Where a term of this Offer and the Terms of Use address the same matter, the Terms of Use control.

1.1. This Offer is Modu's public proposal, addressed to legal entities and individual entrepreneurs, to enter into an agreement on the terms set out below.

1.2. This Offer may be accepted by any legal entity or individual entrepreneur registered in the Republic of Kazakhstan intending to use Modu's software services described on this site.

1.3. The Client unconditionally accepts all terms of this Offer in full and without exception.

1.4. A person who accepts this Offer becomes a “Client.”

1.5. Acceptance occurs when the Client creates an Account, selects a paid plan, and completes payment for it in accordance with Section 6.

1.6. This Offer, any amendments to it, and additional information about Modu's plans are published on this site and at modu.kz.

2.1. The site is Modu's property and is used to offer Modu's software services (invoicing, accounting, reimbursements, and related financial tooling) to businesses over the internet.

2.2. Modu does not sell, deliver, or warehouse physical goods. References in Kazakhstani law to “goods” in the context of a public offer are, for Modu, references to the software services described in Section 4.

2.3. Modu is not responsible for the content or accuracy of information the Client provides when creating an Account.

3.1. The Client is responsible for the accuracy of the information provided when creating an Account and confirms that this information does not infringe the rights of third parties.

3.2. Information the Client provides is confidential and processed in accordance with our Privacy Policy, to which the Client separately consents.

4.1. Modu provides the Client with access to its software services on a subscription basis, on the terms and at the prices set out on this site, based on the plan the Client selects.

4.2. Modu's services are software delivered over the internet. There is no physical delivery, courier, self-pickup, or carrier — Section 10 (Provision of Access) governs how and when access is granted instead.

4.3. Kazakhstani civil and commercial legislation and other applicable acts apply to the relationship between the Client and Modu to the extent not governed by the Terms of Use.

5.1. Modu's plans, their scope, and current prices in tenge are described on the Pricing page of this site. Plan descriptions are informational; if you have questions before subscribing, contact us using the details in Section 15.

5.2. Modu may add, modify, or discontinue individual features within a plan going forward; such changes do not retroactively reduce what was included in a period the Client has already paid for.

6.1. The Client selects a plan on the Pricing page or from within their Account, chooses a billing period — 1 (one), 3 (three), 6 (six) or 12 (twelve) months, from the terms available on this site at the time of purchase — and a payment method (bank card or bank transfer against an invoice), and completes payment on this site.

6.2. The agreement is considered concluded (Offer accepted) from the moment Modu receives confirmation of the Client's payment for the selected plan.

6.3. Modu does not edit information the Client submits during signup.

7.1. Prices shown on this site are in Kazakhstani tenge (KZT) per billing period selected by the Client.

7.2. Modu may change prices for future billing periods; the price for a period the Client has already paid for will not change.

7.3. Modu notifies the Client of a price change by email at least 30 calendar days before the start of the billing period to which the new price applies. If the Client does not agree with the new price, the Client may cancel the subscription under Section 12 before that period begins.

7.4. When paying for 3, 6 or 12 months, the price may be shown at a discount to the plan's monthly price; the discount is displayed on this site when the term is selected and applies for the whole paid period. A billing period longer than one month is paid in full in a single payment (prepayment).

8.1. Payment is made in tenge through Modu's licensed banking or payment partner, using a method available in the Client's Account. Payment processing is described in more detail in the Modu Payments Agreement.

8.2. The Client's obligation to pay is considered fulfilled once the corresponding funds are credited to the account designated by Modu's payment partner or to Modu's bank account stated on the invoice.

8.3. For each payment Modu issues an electronic invoice and receipt and, at the end of each month of a paid billing period, a certificate of completed work (services rendered). Documents are sent to the email addresses of the Account owner and admins and are available on the Plan & Billing page of the Account; on the Client's request Modu provides the certificate on paper.

8.4. If within 5 (five) business days of the date a certificate is sent the Client has not sent Modu a reasoned objection using the details in Section 15, the services for the relevant period are deemed properly rendered and accepted by the Client without remarks, and the certificate is deemed signed by both parties.

9.1. A subscription is taken out for the selected billing period and, when it ends, automatically renews for the same period — including where that term is no longer offered on this site for new subscriptions — at the price of the selected plan in effect on the renewal date (subject to Section 7.3), until the Client cancels it under Section 12.

9.2. Card payments. By choosing to pay by card and confirming the payment, the Client consents to the card's payment details being stored with Modu's payment partner and authorizes Modu to charge the plan price to that card on the last day of each paid period without separate confirmation of each payment (recurring payments). Card details are stored by the payment partner in line with the PCI DSS security standard; Modu does not receive or store the full card number or CVV/CVC code.

9.3. Payment by invoice. For bank-transfer payments, Modu sends the Client an invoice for the next period at least 7 (seven) calendar days before the renewal date; the invoice is payable by the renewal date.

9.4. Notices. At least 7 (seven) calendar days before each renewal — and, for 6- or 12-month subscriptions, also 30 (thirty) calendar days before — Modu emails the Client a reminder with the amount, date, and payment method. A receipt is sent after each successful payment.

9.5. Failed payments. If a card charge fails, Modu retries within 5 (five) calendar days after the renewal date and notifies the Client of each failed attempt; during this time the Client may pay the renewal manually or update the card. If payment is not received within 7 (seven) calendar days after the renewal date (the grace period), the subscription moves to the free plan. The Client's data is retained, and a paid plan can be restarted at any time.

9.6. The Client may at any time update the card, switch to paying by invoice, or remove the saved card on the Plan & Billing page. If the saved card is removed and no other payment method is selected, the Client pays the renewal manually by the renewal date.

10.1. Access to the plan the Client has paid for is granted electronically by activating the corresponding features on the Client's Account, generally immediately and no later than one business day after payment is confirmed.

10.2. If a payment fails to complete or is later reversed, Modu may suspend or restrict access to the corresponding plan.

11.1. Modu's services are provided “as is” and “as available,” on the terms described in the No Warranty section of the Modu Terms of Use, which apply to this Offer.

12.1. The Client may cancel the subscription (automatic renewal) at any time on the Plan & Billing page of the Account or by contacting Modu using the details in Section 15. Cancellation takes effect at the end of the current paid period: access to the plan continues until then, and no further charges or invoices are made.

12.2. Payments for a billing period that has started are non-refundable, including where the Client cancels before the period ends, downgrades to a cheaper plan, or does not use the services — except as set out in Section 12.3 and where expressly required by the legislation of the Republic of Kazakhstan. Where the Client pays for 3, 6 or 12 months, the billing period is the whole paid term; unused months of such a period are non-refundable, except as set out in Section 12.3.

12.3. Modu refunds a payment in full if it was charged in error — twice for the same period, after a cancellation has taken effect, or in an amount that does not match the plan — and refunds the unused part of a paid period on a pro-rata basis if Modu, on its own initiative, discontinues the plan before that period ends.

12.4. Refunds are made to the payment method used for the original payment, or to another bank account the Client designates, within 15 (fifteen) calendar days of the Client's request.

13.1. The parties are liable in accordance with Kazakhstani legislation and, in particular, the Limitation of Liability section of the Modu Terms of Use, which apply to this Offer.

13.2. Neither party is liable for failure or delay in performance caused by circumstances of force majeure, for as long as those circumstances continue.

14.1. This Offer is governed by the legislation of the Republic of Kazakhstan and takes effect for a given Client upon acceptance under Section 1, remaining in effect until the parties' obligations are fully performed.

14.2. Disputes are resolved through negotiation and, failing that, in the courts of the Republic of Kazakhstan at the location of Modu's registration, consistent with the Modu Terms of Use.

14.3. Modu may expand or reduce the plans offered on this site and may suspend or discontinue a plan at its discretion, subject to Section 7 (Price) and Section 12 (Cancellation and Refunds) as to already-paid periods.

14.4. This Offer is published in Russian, Kazakh and English. In case of any discrepancy between the texts, the Russian text prevails.
